Title of filing: Articles of Incorporation.
Filing Fees: $100 minimum, variable based on value of aggregate par value of authorized stock.
Other fees: $20 organization & capitalization fee.
Name reservation: Reservable for 30 days for $25 fee. (Section 1-505).
Name requirements: Corporation, Incorporated, Company, Limited, or abbreviation. If name includes “Company”
or “Co.,” the word or abbreviation may not be preceded by “and” or “&.” (Section 1-502(a)).
Incorporator requirements: One or more natural persons. (Section 2-102).
Corporate purpose requirements: General “all purpose” clause (see instructions). (Section 2-101).
Director requirements: One or more (may be nonresidents). (Section 2-402).
Paid-in capital requirements: None.
Annual report requirement: Personal Property Return due annually to Department of Assessments and Taxation.
Publication requirements: None.
Other provisions: Names of initial directors must be stated in Articles. Also, Articles must include names and
addresses of incorporators and a statement that the incorporators are 18 or older and they are forming a corporation
under the general laws of the state of Maryland. (Section 2-104). Also, registered agent must sign the Articles
consenting to his designation as registered agent.
