This Trademark Assignment Agreement is between the owner of a trademark (the "assignor") and a party to whom all rights in a trademark will be assigned (the "assignee"). This agreement sets forth the exact mark(s) to be assigned and that all rights, title and interest in the trademarks will now be the property of the assignee. It also sets forth assignor's right to assign and his or her continuing obligations with regard to the trademarks. It is imperative that this agreement be memorialized in writing rather than via oral agreement. A written Trademark Assignment Agreement will prove invaluable if there are disagreements or questions surrounding the ownership of a registered trademark or in the event of trademark infringement.

This Trademark Assignment Agreement includes the following:

• Parties: Names of both the assignor and the assignee;
• Trademark: A description of the trademarks to be assigned are set out in Exhibit A which is attached to the assignment;
• Assignment: Assignor assigns and transfers all rights and interests in the trademarks to the assignee;
• Representations: Assignor warrants that he or she is the exclusive owner of the trademarks and that they do not infringe on others;
• Signatures: Both parties must sign this agreement.
