Title of filing: Articles of Organization.
Filing Fee: $165 paper filing; $160 online filing
Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Company,” or the abbreviations “LLC,” “L.L.C.,” “LC,” or “L.C.” The name may contain the name of a member or manager. (Section 17-7664). A company name may be reserved for 120 days for a $35 fee. (Sections 17-7402, 17-7665).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Sections 17-7663(l), 17-7663(m)).
Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) if the company is organized to exercise the powers of a professional association or corporation, the company’s profession; and (4) any additional matters. (Section 17-7673).
Annual report requirement: Yes, to Secretary of State. (17-76,139). $55 filing fee.
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Articles of Organization, the company becomes a legal entity and the members are shielded from personal liability. This date is retroactive to the date of submission if within five days of official approval. In addition, this date may be delayed for up to 90 days if so stated in the Articles of Organization. (Section 17-7673).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity. (Sections 17-7663(l), 17-7663(m)).
