Title of filing: Articles of Organization.

Name requirements: The official name must contain the words “Limited Liability Company” or “Limited Company,” or the abbreviation “LLC,” “LC,” “L.L.C.,” or “L.C.” The word “Limited” may be abbreviated to “Ltd.” and the word “Company” may be abbreviated to “Co.” (Section 53-19-3). A company name may be reserved for 120 days for a fee of $20. (Section 53-19-4).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 53-19-7). Articles of Organization requirements: Articles of Organization must contain the following: (1) name of company, (2) registered agent name and office address, (3) street address of company’s principal place of business, (4) duration of company, if less than perpetual, (5) if company is to be managed by managers, a statement to that effect, (6) if the company may carry on its business as a single-member company, a statement to that effect, and (7) any additional matters. (Section 53-19-8).
Annual report requirement: No.
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Articles of Organization, the company becomes a legal entity and the members are shielded from personal liability. The effective date may be delayed to any later date stated in the Articles of Organization. (Section 53-19-10).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity. (Section 53-19-2).
Other: The Articles of Organization must be accompanied by a statement executed by the registered agent acknowledging acceptance of the appointment. (Section 53-19-9).
