Title of filing: Articles of Incorporation.
Filing Fees: Incorporation fee is $58 if no more than 30,000 shares are issued and their value does not exceed
$30,000. If either amount is exceeded, the fee is based on “authorized capital” instead. The fee is $55 for any
amount of authorized capital up to $30,000, and $5 more for each $10,000 of authorized capital. An additional $3
filing fee will be charged if the fee is based on authorized capital.
Other fees: None.
Name reservation: Reservable for 60 days for $25 fee. Renewable twice. (Section 351.115).
Name requirements: Corporation, Incorporated, Company, Limited, or abbreviation. (Section 351.110).
Incorporator requirements: One or more natural persons, 18 years or older. (Section 351.050).
Corporate purpose requirements: A specific primary purpose must be stated in the Articles. But the corporation
shall not be restricted to that limited purpose, unless it states that it is so restricted in the Articles. (Section
351.386).
Director requirements: One or more. (Section 351.315).
Paid-in capital requirements: None.
Annual report requirement: Yes, annual corporate registration report required with Secretary of State. (Section
351.120). $45 fee for paper filing, $20 fee for online filing.
Publication requirements: None.
Other provisions: The Articles must state whether the number of authorized shares exceeds 30,000 or their value
exceeds $30,000, or, if either number is exceeded, the Articles must indicate the number of shares of each class
and the par value of each share, plus any additional rights or preferences in each class. (Section 351.055).
