Title of filing: Articles of Incorporation.
Filing Fees: Variable fee based on number of authorized shares, minimum $100 ($1 per 1,000 shares). (Section
53-2-1).
Other fees: Initial corporate report filing fee, $25.
Name reservation: Reservable for 120 days for a $25 fee. (Section 53-11-8).
Name requirements: Corporation, Incorporated, Company, Limited, or abbreviation. (Section 53-11-7).
Incorporator requirements: One or more persons or corporations. (Section 53-12-1).
Corporate purpose requirements: General “all purpose” clause (see instructions). (Section 53-11-3).
Director requirements: One or more (may be nonresidents). (Sections 53-11-35, 53-11-36).
Paid-in capital requirements: None.
Annual report requirement: Biennial report to the Public Regulation Commission. (Section 53-5-2). $25 filing
fee.
Publication requirements: None.
Other provisions: Within 30 days of the date on which the state issues the Certificate of Incorporation, the corporation
must file an initial report. (Section 53-5-2). The Articles of Incorporation must be accompanied by a statement
executed by the registered agent acknowledging acceptance of the appointment. (Section 53-12-3).
