Title of filing: Certificate of Formation.
Filing Fee: $175
Name requirements: The official name must contain the words “Limited Liability Company,” “Limited Liability Co.,” or the abbreviations “LLC” or “L.L.C.” (Section 25.15.010). A company name may be reserved for 180 days for a fee of $30. (Section 25.15.015).
Organizer requirements: A limited liability company may be organized by one person. The organizer need not be a natural person, nor a member. (Section 25.15.070).
Articles of Organization requirements: Articles of Organization are referred to as a Certificate of Formation and must contain the following: (1) name of company, (2) registered agent name and office address, (3) address of company’s principal place of business, (4) duration of company, if less than perpetual, (5) if company will be managed by managers a statement to that effect, and (6) any additional matters. (Section 25.15.070(1)).
Annual report requirement: Yes, to Secretary of State. (Section 25.15.105).
Publication requirement: No.
Effective date of limited liability company organization: On the date of official approval of Certificate of Formation, the
company becomes a legal entity and the members are shielded from personal liability. In addition, the effective date may be
delayed up to 90 days if so stated in the Certificate of Formation. (Section 25:15.070(2)).
Membership requirements: Minimum number required is one. The member may be a natural person or a business entity.
