Name reservation: Reservable for 120 days for $10 fee. (Section 10-402).
Name requirements: Corporation, Incorporated, Company, Limited, or abbreviation. (Section 10-401).
Incorporator requirements: One or more persons. (Section 10-201).
Corporate purpose requirements: General “all purpose” clause (see instructions). (Section 10-301). But Articles
of Incorporation must include a brief statement of the character of business that the corporation initially intends
to actually conduct. (Section 10-202).
Director requirements: One or more (may be nonresidents). (Sections 10-802, 10-803).
Paid-in capital requirements: None.
Annual report requirement: Yes. (Section 10-1622).
Publication requirements: Articles must be published three consecutive times within 60 days of filing. Affidavit
evidencing publication must be filed within 90 days of filing. (Section 10-203).
Other provisions: All incorporators must sign a Certificate of Disclosure within 30 days of the certificate’s delivery
to the Commission. The Certificate asks (1) whether the incorporators have been convicted of certain crimes,
(2) whether the incorporators have been involved in certain previous corporate transactions, and (3) the ending
date of corporation’s fiscal year. Also, the registered agent must sign the Articles acknowledging and accepting
the position. (Section 10-202).
