Other provisions: If initial directors are named in the Articles, they must sign the Articles of Incorporation. If
initial directors are not named in the Articles, one or more incorporators must sign the Articles of Incorporation.
(Section 200). No preemptive rights unless granted in Articles. (Section 204(a)(2)). The Articles must contain this
exact statement: “The purpose of the corporation is to engage in any lawful act or activity for which a corporation
may be organized under the General Corporation Law of California other than the banking business, the trust
company business, or the practice of a profession permitted to be incorporated by the California Corporations
Code.” If another corporation is designated as the new corporation’s registered agent, the new corporation must
file a certificate designating the corporation as the registered agent under Section 1505. Filing fee is $30.
